Terms of Service

Welcome to Arcanecircle.games (the "Site" or the "Service"), owned and operated by Arcane Circle INC. ("Arcane Circle," "we," "us," or "our").

Arcane Circle provides the following services but not limited to: a digital platform that hosts virtual tabletop software ("VTT"), collaborative wikis and world-building tools, paid games/sessions (including those run by third-party Game Masters or trainers), and proprietary training and educational materials (collectively, the "Services").

By accessing, registering for an account, or using any of the Services, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Arcane Circle. You accept these Terms by clicking to agree or acknowledge them during the registration process, or by otherwise accessing or using the Services.

If you are entering into these Terms on behalf of a company, organization, or another legal entity, you represent that you have the authority to bind that entity and its affiliates to these Terms, in which case the terms "you" or "your" shall refer to that entity and its affiliates.

2. Eligibility and Account Registration

2.1. Age Requirements

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service. By registering, you affirm that you meet this age requirement. Service is intended only for access and use by individuals at least eighteen (18) years old. If you are not at least eighteen (18) years old, you are prohibited from both the access and usage of Service.

2.2. Account Security

You are solely responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to immediately notify Arcane Circle of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.

3. License and Use of the Service

3.1. Limited License

Subject to your compliance with these Terms, Arcane Circle grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services, including the VTT software, wikis, and training materials, strictly for your personal, non-commercial use, unless otherwise explicitly permitted in a written agreement with us.

3.2. Proprietary Rights

The Service, including its design, code, proprietary software (like the VTT), artwork, training materials, trademarks, and all content provided by Arcane Circle (excluding User-Generated Content), are owned by Arcane Circle or its licensors and are protected by intellectual property laws.

You may not modify, reproduce, distribute, sell, or create derivative works of any part of the Service without our expressed written permission.

4. Paid Services, Subscriptions, and Refunds

4.1. General Payment Terms

Certain aspects of the Service, including premium VTT features, access to specific training courses, or participation in paid game sessions ("Paid Services"), require you to pay fees. By selecting a Paid Service, you agree to pay Arcane Circle all charges at the prices then in effect for your selected services and you authorize us, or our third-party payment processors, to charge your chosen payment method.

4.2. Subscriptions and Auto-Renewal

If you purchase a subscription-based Paid Service, your subscription will automatically renew at the end of the subscription period, unless you cancel it before the renewal date. Arcane Circle reserves the right to adjust subscription fees at any time, provided we give you reasonable prior notice of such changes.

4.3. Virtual Assets

The Service may allow you to purchase, earn, or license "Virtual Assets" (e.g., VTT tokens, digital rulebooks, in-platform currency, or premium features). You acknowledge that Virtual Assets are solely licensed to you under these Terms; you do not own them. Virtual Assets have no real-world monetary value, cannot be redeemed for real currency or monetary value, and cannot be transferred outside of the Service.

4.4. Refunds

All sales of digital content, subscriptions, and virtual assets are final and non-refundable, except as required by applicable law. This includes, but is not limited to, fees for VTT premium plans, and game session bookings. If you believe you are entitled to a refund under specific consumer protection laws, please contact us.

5. User-Generated Content (UGC)

The Service includes features that allow you to create, submit, post, display, transmit, or distribute content, including text, wikis, campaign notes, maps, images, and VTT assets ("User-Generated Content" or "UGC").

5.1. Ownership

You retain all ownership rights to your UGC. Arcane Circle does not claim any ownership over your UGC.

5.2. Your License Grant to Arcane Circle

By submitting UGC to the Service, you grant Arcane Circle a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to host, store, copy, display, distribute, modify, create derivative works of, and otherwise use your UGC in connection with the operation, promotion, and improvement of the Service.

5.3. License Grant to Other Users

By posting UGC in a public or shared area of the Service (e.g., a public wiki or shared VTT campaign), you grant other users of the Service a non-exclusive license to access, use, and interact with your UGC as permitted by the Service's functionality. This includes, for example, the ability to view, supplement, or incorporate your content into their own campaigns or world-building projects on the Service.

5.4. Your Responsibility for UGC

You are solely responsible for your UGC. You represent and warrant that your UGC does not infringe, misappropriate, or violate any third party's intellectual property rights, rights of privacy or publicity, or any applicable law or regulation. Arcane Circle reserves the right to remove any UGC at any time if we believe it violates these Terms.

6. Prohibited Conduct and Community Rules

You agree not to use the Services to violate any law, infringe any third party's rights, or engage in any of the following Prohibited Conduct:

1. Illegal or Harmful Activity: Posting or transmitting material that is illegal, fraudulent, defamatory, obscene, or hateful, including harassment, stalking, discrimination, sexism, or advocating for illegal acts.
2. Intellectual Property Infringement: Uploading, sharing, or creating content that you do not own or have the right to use, including copyrighted materials (images, rulebooks, modules) or trademarks.
3. VTT Misuse/Cheating: Using unauthorized software, bots, cheats, or automated means to access, modify, or interfere with the VTT software or other parts of the Service.
4. Reverse Engineering: Attempting to decompile, reverse engineer, disassemble, or derive source code from any software components of the Service, including the VTT or training platform.
5. Data Mining/Scraping: Using any automated means to access the Service to collect information or scrape data without express written permission.
6. Account Sharing: Sharing your account, Login Credentials, or subscription access with any other person.
7. Service Disruption: Introducing viruses, worms, or any code of a destructive nature, or attempting to overload, impair, or disrupt the Service's servers or network.

7. Termination

7.1. Termination by Arcane Circle

We may terminate or suspend your access to all or part of the Service at any time, with or without notice, if we reasonably determine that you have violated these Terms or for any other legitimate business reason. Upon termination, all licenses granted to you by Arcane Circle will immediately cease.

7.2. Termination by You

You may terminate your account at any time through your account settings or by contacting us. Termination of your account will not result in a refund for any prepaid subscription fees, virtual assets, or other paid services.

8. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL VTT SOFTWARE, WIKIS, PAID GAMES, AND TRAINING MATERIAL, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Arcane Circle does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You assume all risk and responsibility for any loss or damage arising from your use of the Service.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARCANE CIRCLE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST DATA, OR SERVICE INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ARCANE CIRCLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ARCANE CIRCLE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT YOU PAID TO ARCANE CIRCLE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law principles.

Any dispute or claim arising out of or relating to these Terms will be resolved through binding arbitration in Los Angeles County, California, unless otherwise specified by mandatory law in your jurisdiction.

11. Changes to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will notify you of any changes by posting the new Terms of Service on this page and updating the "Effective Date" at the top of this policy. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
